These Terms and Conditions ("T&Cs") govern your use of the online coaching and consulting service platform operated by InnerNorth Atlas ("we," "us," "our") and all services available on or through it (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these T&Cs. If you do not agree to these T&Cs, you must not use our Platform.
1. General Terms
1.1. About Our Platform: We provide a platform that connects individuals and professionals seeking coaching and consulting services ("Clients") with qualified coaches and consultants ("Providers"). We act as an intermediary and are not a party to the direct service agreement between a Provider and a Client.
1.2. Eligibility: To use our Platform, you must be at least 18 years old. By using the Platform, you confirm that you are of legal age and have the capacity to enter into a legally binding agreement.
1.3. User Account: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.
1.4. International Use: The Platform is operated from the United Kingdom. By using our services from outside the UK, you acknowledge and agree that your data and business relationship will be governed by UK law as specified below.
2. Services and Your Role
2.1. For Service Providers (Coaches & Consultants):

Provider Vetting: You acknowledge that you must meet our minimum requirements to be listed on the Platform, which may include providing proof of professional qualifications (e.g., ICF certification), experience, and identification.

Content Accuracy: You are responsible for the accuracy and legality of all information you post on your profile and about your services.

Service Agreement: You are responsible for establishing a clear service agreement with your Clients, including the scope of work, fees, and confidentiality.

Professional Conduct: You agree to act professionally, ethically, and in accordance with any relevant professional codes of conduct (e.g., ICF Code of Ethics).
2.2. For Service Buyers (Clients):

Provider Selection: You are solely responsible for selecting a Provider and determining the suitability of their services for your needs. We provide information to assist you in making an informed decision but do not endorse any specific Provider.

Engagement: You agree to engage with Providers respectfully and to abide by the terms of your agreement with them.
2.3. Platform Disclaimer: We do not provide coaching or consulting services ourselves. Our role is limited to providing the platform to facilitate connections. We make no guarantees regarding the quality, suitability, or outcome of any services offered by Providers.
3. Financial Terms
3.1. Fees and Payments:
Provider Fees: Providers set their own fees for services.
Platform Fee: We will charge a fee or commission on each transaction made through the Platform. This fee will be clearly displayed before a transaction is completed.
Payment Processing: All payments are processed securely through our third-party payment processor, [e.g., Stripe, PayPal]. We do not store your full payment card details.
3.2. Refunds and Cancellations:
Provider's Policy: The Provider's own cancellation and refund policy will apply to a Client's purchase. We are not responsible for processing refunds, but may assist in mediating disputes.
Platform Fee: Our platform fee is generally non-refundable.
3.3. International Transactions: All prices on our Platform are displayed in GBP. You are responsible for any currency conversion fees, exchange rate fluctuations, or charges applied by your bank or payment provider for international transactions.
4. User Content
4.1. Responsibility for Content: You are solely responsible for any content you submit to the Platform, including text, images, and profile information.
4.2. Content License: By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your content on the Platform for the purpose of providing and promoting our services.
5. Intellectual Property
All intellectual property rights in the Platform and its content (excluding user-submitted content) are owned by us. You may not use any part of the Platform for commercial purposes without our prior written consent.
6. Disclaimers and Limitation of Liability
6.1. No Warranties: The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Platform's availability, reliability, or that it will be free from errors or viruses.
6.2. Limitation of Liability: To the fullest extent permitted by law, we shall not be liable for any direct, indirect, special, or consequential damages arising from your use of the Platform or your engagement with any Provider, including but not limited to loss of profits, data, or reputation.
7. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or damages arising out of your breach of these T&Cs or your misuse of the Platform.
8. Termination
We reserve the right to suspend or terminate your account at our sole discretion, without notice, if you breach these T&Cs or for any other reason.
9. Governing Law and Jurisdiction
These T&Cs are governed by and construed in accordance with the laws of England and Wales. By using the Platform, you irrevocably agree that any disputes arising in connection with these T&Cs will be subject to the exclusive jurisdiction of the courts of England and Wales, regardless of your location.
